    1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dashible Inc., a New York corporation ("Company," "we," "us," or "our"), governing your access to and use of the KopyKat platform, website, and related services (collectively, the "Service"). BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

    2. Description of Service

KopyKat is an AI-powered email intelligence platform that enables users to forward emails and interact with their email content through natural language queries. The Service processes, analyzes, and stores email content to provide search and conversational AI functionality. We reserve the right, in our sole discretion, to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you or any third party.

    3. User Accounts and Responsibilities

    • Maintain and promptly update your account information
    • Maintain the security and confidentiality of your login credentials
    • Accept full responsibility for all activities under your account
    • Immediately notify us of any unauthorized access or security breach

You are solely responsible for any and all activities that occur under your account, whether or not authorized by you. We shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

    4. Acceptable Use Policy

You agree NOT to use the Service to:

    • Violate any applicable federal, state, local, or international law or regulation
    • Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
    • Infringe upon the intellectual property rights of any third party
    • Transmit malware, viruses, or any code of a destructive nature
    • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
    • Interfere with or disrupt the integrity or performance of the Service

    • Use the Service for any commercial purpose not expressly permitted
    • Circumvent, disable, or otherwise interfere with security-related features of the Service
    • Use automated systems (bots, scrapers, etc.) to access the Service without express written permission

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any violation of these Terms or for any reason at our sole discretion.

    5. User Content and Email Data

You retain ownership of all email content and data you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, reproduce, and display such content solely for the purpose of providing and improving the Service. You represent and warrant that you own or have the necessary rights to submit all User Content and that your User Content does not violate any third-party rights or applicable laws.

You acknowledge that the Service uses artificial intelligence and machine learning technologies to process your emails. You agree that AI-generated responses may contain errors or inaccuracies, and you should not rely solely on the Service for critical decisions.

    6. Subscription and Payments

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to pay all applicable fees at the rates in effect when charges are incurred. All fees are non-refundable except as expressly set forth herein. We reserve the right to change our pricing at any time; changes will apply to subsequent billing cycles. Failure to pay may result in suspension or termination of your account.

Free trial periods, if offered, may be terminated or modified at any time. Upon expiration of any free trial, your account will convert to a paid subscription unless you cancel before the trial ends.

    7. Intellectual Property Rights

The Service, including all content, features, functionality, software, designs, graphics, and trademarks, is owned by Dashible Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms grant you no right, title, or interest in the Service except for the limited license to use the Service as expressly permitted herein. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

    8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED RESPONSES.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, the exclusions will apply to the fullest extent permitted by applicable law.

    9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DASHIBLE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

    10. Indemnification

You agree to indemnify, defend, and hold harmless Dashible Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party, including any other users; or (e) your violation of any applicable laws, rules, or regulations. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

    11. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Dashible Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may assert claims in small claims court if the claims qualify.

Arbitration Rules and Forum: The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Queens County, New York, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: YOU AND DASHIBLE INC. AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to info@dashible.com within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of the arbitration provision.

    12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Queens County, New York, and waive any objection based on inconvenient forum.

    13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, limitations of liability, and the arbitration agreement.

    14. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

    15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

    16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dashible Inc. regarding the Service and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, both written and oral.

    17. Waiver

The failure of Dashible Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Dashible Inc.

    18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without your consent to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

    19. Force Majeure

Dashible Inc. shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
